All rights not expressly granted are reserved to Next Order and its licensors.

You shall not, and shall not permit any third party to do any of the following:

• copy, reproduce, republish, distribute, or create derivative works from any Site content except as expressly permitted
• use any automated means, including bots, scrapers, or crawlers, to access the Site except in compliance with Our robots.txt
• attempt to gain unauthorised access to the Site or related systems
• interfere with or disrupt the Site’s integrity, security, or performance
• upload or transmit any Malicious Software or unlawful content
• frame, mirror, or misrepresent the Site
• use the Site to build a competing product or benchmark against Our Services
• use the Site in violation of any applicable law

No rights to use any Next Order trademarks are granted without Our prior written consent.

If You submit any comments, suggestions, ideas, or feedback through the Site (“Submissions”), You grant Next Order a perpetual, irrevocable, worldwide, royalty-free, sublicensable licence to use, modify, and exploit such Submissions for any purpose, without attribution or compensation. You represent that You have all rights necessary to make such Submissions and that they do not infringe any third-party rights.

If You create an account or request a demo, You agree to provide accurate and complete information and to keep it current. You are responsible for maintaining the confidentiality of Your credentials and for all activity under Your account. THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR AVAILABILITY. NEXT ORDER DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF MALICIOUS SOFTWARE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXT ORDER AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE. NEXT ORDER’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE WEBSITE TERMS WILL NOT EXCEED ONE HUNDRED SINGAPORE DOLLARS (S$100).

You will defend, indemnify, and hold harmless Next Order and its Affiliates, officers, directors, and Personnel from any third-party claim arising from Your use of the Site, Your Submissions, or Your breach of these Website Terms.

Next Order may modify the Site or these Website Terms at any time by posting an updated version. Your continued use after changes constitutes acceptance. We may suspend or terminate Your access to the Site at any time, with or without notice, for any reason.

These Website Terms are governed by the laws of Singapore, without regard to conflict-of-laws principles. Any dispute arising out of or in connection with these Website Terms shall be resolved in accordance with Section 20 of the MSA (good-faith negotiation, then SMC mediation, then SIAC arbitration seated in Singapore before one arbitrator in English), which applies mutatis mutandis. Notwithstanding the foregoing, Next Order may seek interim or injunctive relief in any court of competent jurisdiction to protect its Intellectual Property Rights.

• 14.1 Entire Agreement. These Website Terms, together with the Privacy Policy, constitute the entire agreement between You and Next Order with respect to the Site.
• 14.2 Severability. If any provision is held invalid, it will be modified to the minimum extent necessary, and the remainder will remain in full force.
• 14.3 Waiver. No failure to enforce any provision operates as a waiver.
• 14.4 Assignment. You may not assign these Website Terms. Next Order may assign freely to an Affiliate or in connection with a corporate transaction.
• 14.5 Third-Party Rights. A person who is not a party to these Website Terms has no rights under the Contracts (Rights of Third Parties) Act 2001 of Singapore to enforce any of its terms.
